Client Property

Unless otherwise specified in a project agreement, upon full payment for services rendered, you will own the final deliverables created specifically for you. We retain the right to use general methodologies, know-how, and experience gained during the project.

5. Payment Terms

• Payment terms will be specified in individual project agreements
• Invoices are typically due within 15-30 days of issuance
• Late payments may incur interest charges and/or suspension of services
• We reserve the right to require upfront deposits or milestone payments
• All fees are non-refundable unless otherwise stated in the project agreement

6. Project Timelines

While we strive to meet all project deadlines, timelines are estimates and may be affected by factors including client feedback, scope changes, or unforeseen technical challenges. We will communicate any timeline changes promptly.

7. Warranties and Disclaimers

We warrant that services will be performed in a professional and workmanlike manner. However:

• Services are provided "as is" and "as available"
• We make no warranties regarding uninterrupted or error-free services
• We do not warrant that our services will meet all your requirements
• We are not responsible for third-party services or platforms

8. Limitation of Liability

To the maximum extent permitted by law, NextOrbit shall not be liable for any indirect, incidental, special, consequential, or punitive damages, or any loss of profits or revenues, whether incurred directly or indirectly, or any loss of data, use, goodwill, or other intangible losses resulting from:

• Your access to or use of or inability to access or use our services
• Any conduct or content of any third party on our services
• Any content obtained from our services
• Unauthorized access, use, or alteration of your transmissions or content

9. Indemnification

You agree to indemnify, defend, and hold harmless NextOrbit and its officers, directors, employees, and agents from and against any claims, liabilities, damages, losses, and expenses arising out of or in any way connected with your access to or use of our services, or your violation of these Terms.

10. Confidentiality

Both parties agree to maintain the confidentiality of any proprietary or confidential information shared during the course of the project. This obligation survives the termination of the agreement.

11. Termination

Either party may terminate a project agreement with written notice. Upon termination:

• Client shall pay for all work completed up to the termination date
• We will deliver all completed work and materials
• Confidentiality obligations remain in effect

12. Modifications to Terms

We reserve the right to modify these Terms at any time. We will provide notice of material changes by posting the new Terms on our website. Your continued use of our services after such modifications constitutes acceptance of the updated Terms.

13. Governing Law

These Terms shall be governed by and construed in accordance with the laws of India and the United States, without regard to conflict of law provisions. Any disputes shall be resolved through arbitration or in the courts of appropriate jurisdiction.
